1. Acceptance of Terms

By accessing and using the Parallax platform operated by Chicago Global Capital Pte. Ltd. (UEN: 201734851Z) ("Company," "we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement.

3. Accredited Investor Definition (MAS Guidelines)

Under the Securities and Futures Act (Cap. 289) of Singapore, as amended, an Accredited Investor means:

• Individuals (Route 1 - Income): Income in the preceding 12 months of not less than S$300,000 (or equivalent in foreign currency)
• Individuals (Route 2 - Net Personal Assets): Net personal assets exceeding S$2 million (or equivalent), where the value of their primary residence does not exceed S$1 million
• Individuals (Route 3 - Net Financial Assets): Net financial assets (excluding primary residence) exceeding S$1 million (or equivalent)
• Corporations: Net assets exceeding S$10 million (or equivalent) as determined by the most recent audited balance sheet
• Trusts: Where the trustee is an accredited investor and the trust is not formed solely for acquiring specific securities
• Entities: Partnerships, corporations or unincorporated associations where all partners, shareholders or members are accredited investors

Important: Individuals qualifying under the net assets criteria must opt-in to be treated as accredited investors and are subject to periodic re-assessment. This definition reflects MAS Notice SFA 04-N12 as amended.

Institutional Investor means:

• The Government of Singapore or any statutory board
• Any sovereign fund entity or government-owned entity
• Banks licensed under the Banking Act, merchant banks approved as financial institutions, and finance companies
• Insurance companies and trust companies licensed in Singapore
• Holders of capital markets services licenses
• Pension funds, collective investment schemes, and similar entities
• Other entities as prescribed by the Monetary Authority of Singapore

Service Availability: Investment analysis, portfolio recommendations, and advisory services are available only to Accredited Investors and Institutional Investors. Non-accredited investors may access our platform for educational and informational purposes only. By accessing our Services, you acknowledge and affirm that you qualify as an Accredited Investor or Institutional Investor as defined above.

4. Investment Risk Disclosure

Past Performance Warning: Historical performance, backtested results, and analytical outputs shown on the platform do not guarantee future investment results. All investments involve risk, including the potential loss of principal.

Model Risk: Our quantitative models, including machine learning algorithms and factor analysis, are subject to model risk and may not perform as expected under different market conditions.

Market Risk: Market volatility, economic changes, and unforeseen events can significantly impact investment performance in ways that historical models cannot predict.

Before making any investment decisions, you must:

• Consult with qualified financial advisors who can assess your individual circumstances
• Consider your risk tolerance, investment objectives, and financial situation
• Seek personalized advice appropriate to your jurisdiction and tax situation

6. Regulatory Compliance

Chicago Global Capital Pte. Ltd. (UEN: 201734851Z) is licensed by the Monetary Authority of Singapore (MAS) as:

• Capital Markets Services Licensee (Fund Management) - Authorized to conduct fund management activities
• Exempt Financial Adviser - Authorized to provide financial advisory services on investment products

Our regulated activities include Fund Management, Advising on Investment Products (including Collective Investment Schemes, Securities, Derivatives), and Issuing/Promulgating Analyses/Reports on Investment Products.

7. Intellectual Property and Restrictions

Ownership: All rights, title, and interest in and to the Services, including all content, software, algorithms, models, analysis, reports, and other intellectual property (collectively, "Platform Content"), are owned by Chicago Global Capital Pte. Ltd. or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Restricted Access: Your access to the Services is personal and non-transferable. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal investment decision-making purposes (or for your organization's internal use, if applicable).

Prohibited Uses: You may not:

• Copy, reproduce, distribute, republish, download, display, post, or transmit any Platform Content
• Modify, create derivative works from, reverse engineer, or decompile any portion of the Services
• Use the Services or Platform Content to develop competing products or services
• Scrape, crawl, or use automated means to access or extract data from the Services
• Share your account credentials or provide access to the Services to any third party
• Remove or modify any copyright, trademark, or other proprietary notices
• Use the Services or Platform Content for any commercial purpose without our prior written consent

Output: While you may use analysis and insights generated through your use of the Services for your own investment decisions, you may not redistribute, resell, or commercialize such output without our express written permission.

8. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information. Our Privacy Policy is incorporated into these Terms by reference and forms part of your agreement with us.

9. Academic Research and Methodology Disclaimer

Chicago Global Capital Pte. Ltd. employs an investment methodology developed by alumni and faculty of the University of Chicago Booth School of Business. The University of Chicago and its Booth School of Business have no affiliation with Chicago Global Capital and do not endorse our services or platform.

The information and analysis provided through our Services are for informational purposes only and do not constitute investment advice. We make no representation or warranty regarding the accuracy, completeness, or reliability of any information. All estimates, projections, and historical performance data are not guarantees of future results.

10. Limitation of Liability

UNDER NO CIRCUMSTANCE SHALL CHICAGO GLOBAL CAPITAL PTE. LTD. HAVE ANY LIABILITY TO YOU FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF OUR SERVICES OR RELIANCE ON ANY INFORMATION PROVIDED. YOUR USE OF OUR SERVICES AND RELIANCE ON ANY INFORMATION IS SOLELY AT YOUR OWN RISK.

To the maximum extent permitted by applicable law, we, our affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if we have been advised of the possibility of such damages.

Our aggregate liability under these Terms shall not exceed the greater of (a) the amount you paid for the Services that gave rise to the claim during the 12 months before the liability arose, or (b) five hundred Singapore dollars (S$500).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Platform Access and Availability

We reserve the right to modify, suspend, or discontinue the platform at any time. The platform is provided "as is" without warranties of any kind.

12. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause.

The seat of the arbitration shall be Singapore. The Tribunal shall consist of one arbitrator. The language of the arbitration shall be English.

13. Indemnification

If you are a business or organization, to the extent permitted by law, you agree to indemnify and hold harmless Chicago Global Capital Pte. Ltd., its affiliates, and personnel from and against any costs, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from third party claims related to your use of our Services or violation of these Terms.

14. Disclaimer of Warranties

To the maximum extent permitted by applicable law, our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that our Services will be uninterrupted, error-free, or completely secure. You acknowledge that your use of our Services is at your sole risk.
